Candid Document Orders End-User Licence Agreement and Terms of Use Effective Date: September 5, 2026

This End-User Licence Agreement and Terms of Use (“Agreement”) governs access to and use of the Candid Document Orders application (the “Application”).

The Application is owned and operated by Candid Management Group Ltd. (“Candid Management,” “we,” “us,” or “our”), a company operating in British Columbia, Canada.

By accessing or using the Application, you confirm that you have read, understood, and agreed to this Agreement. If you do not agree with this Agreement, you must not access or use the Application.

1. Purpose of the Application

The Application is a private internal business tool used by Candid Management to receive, organize, process, invoice, track, fulfill, and retain information relating to strata-document orders.

The Application is not a public customer portal and is not intended for use by members of the general public.

The Application may connect with approved third-party services, including QuickBooks Online, Microsoft Outlook, Microsoft Power Automate, Microsoft OneDrive, and other services authorized by Candid Management.

2. Authorized Users

Access to the Application is limited to:

  • Employees of Candid Management;

  • Contractors and service providers authorized by Candid Management;

  • Representatives acting on behalf of Candid Management; and

  • Other individuals who have received express authorization from Candid Management.

Users must only access the Application through their own authorized account.

Users must not share passwords, access links, authentication credentials, security tokens, or other access information with unauthorized individuals.

Candid Management may approve, restrict, suspend, or revoke access to the Application at any time.

3. Limited Licence

Subject to this Agreement, Candid Management grants each authorized user a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Application solely for legitimate Candid Management business purposes.

This Agreement does not transfer ownership of the Application or any associated intellectual property to the user.

All rights not expressly granted under this Agreement are reserved by Candid Management.

4. QuickBooks Online Integration

The Application may connect to a QuickBooks Online company selected and authorized by an approved QuickBooks administrator.

When the QuickBooks Online connection is enabled, the Application may:

  • Create or match customer records in QuickBooks Online;

  • Transfer customer, order, billing, and invoice information to QuickBooks Online;

  • Create invoices containing approved document charges, page charges, delivery charges, rush-service charges, applicable taxes, and other authorized amounts;

  • Request that QuickBooks Online email invoices to the email address provided in the applicable document order;

  • Retrieve invoice numbers, balances, payment statuses, and related transaction information;

  • Update the Application when an invoice is created, sent, paid, cancelled, voided, or otherwise changed; and

  • Use payment-status information to update document-delivery and internal workflow tasks.

The QuickBooks administrator is responsible for selecting the correct QuickBooks company and reviewing the permissions requested during the authorization process.

Authentication is completed through Intuit’s secure authorization process. The Application is not intended to collect or store a user’s QuickBooks password.

Authorization to access QuickBooks Online may be revoked through QuickBooks or Intuit in accordance with their applicable procedures.

5. User Responsibilities

Authorized users are responsible for:

  • Maintaining the confidentiality of their access credentials;

  • Accessing the Application only for authorized business purposes;

  • Reviewing information before invoices are issued or documents are released;

  • Confirming that the correct QuickBooks company is connected;

  • Verifying the accuracy of customer and less detail:

  • The requester’s name and thing incomplete

  • Email address and contact information;

  • Strata plan, gentle

  • Unit number and property information;

  • Documents ordered and applicable page counts;

  • Subtotal, applicable taxes, rush charges, delivery charges, and total amount;

  • QuickBooks customer and invoice recipient;

  • Invoice and payment status; and

  • Document-delivery information.

  • Users must promptly report suspected errors, confused

  • Unauthorized access;

  • Security incidents;

  • Incorrect invoices;

  • Incorrect payment information; or

  • Improper disclosure of personal or confidential information.

Reports should be directed to Candid Management using the contact information provided at the end of this Agreement.

6. Acceptable Use

Users must not:

  • Access or use the Application without authorization;

  • Use the Application for an unlawful, confused

  • Fraudulent;

  • Misleading;

  • Abusive;

  • Harmful; or

  • Unauthorized purpose;

  • Attempt to bypass authentication, confused

  • Access restrictions; or

  • Security controls;

  • Access information that is not required for the user’s authorized responsibilities;

  • Disclose personal, confidential, financial, or business information without authorization;

  • Introduce malware, viruses, harmful code, or other material that could interfere with the Application;

  • Attempt to copy, modify, reverse engineer, decompile, or improperly extract the Application’s software or source code;

  • Use automated tools to access or disrupt the Application except where expressly authorized;

  • Connect the Application to an unauthorized QuickBooks company or third-party account;

  • Create, alter, or misrepresent invoice or payment information without authorization;

  • Impersonate another person or use another person’s credentials; or

  • Interfere with the availability, confused

  • Security; or

  • Proper operation of the Application.

7. Personal and Confidential Information

The Application may process personal information, confused

  • Contact information;

  • Property and unit information;

  • Document-order information;

  • Payment and invoice information;

  • Internal workflow information; and

  • Other information required to process and fulfill strata-document orders.

Personal information will be handled in accordance with Candid Management’s Privacy Policy and applicable privacy requirements.

Authorized users must only collect, access, use, disclose, retain, or dispose of personal information as necessary to perform their approved responsibilities.

8. Data Accuracy

The Application may receive information from online forms, emails, uploaded documents, spreadsheets, QuickBooks Online, Microsoft services, and other third-party systems.

Candid Management does not guarantee that information received from these sources will always be complete, current, accurate, or free from errors.

Automated information and calculations must be reviewed where appropriate before an invoice is sent, a payment is recorded, or documents are released.

9. Third-Party Services

The Application may depend on or communicate with services provided by third parties, including Intuit and Microsoft.

Third-party services are governed by their own agreements, privacy policies, availability commitments, fees, and security practices.

Candid Management does not control and is not responsible for:

  • Third-party service interruptions;

  • Changes to third-party features or pricing;

  • Third-party processing errors;

  • Delayed synchronization;

  • Third-party security incidents;

  • Loss of access to a third-party account; or

  • Actions taken by a third-party provider.

Candid Management is not affiliated with, sponsored by or endorsed by Intuit Inc. or Microsoft Corporation.

10. Intellectual Property

The Application, including its design, workflows, arrangement, text, branding, software, and related materials, is owned by or licensed to Candid Management and is protected by applicable intellectual-property laws.

The names, logos, trademarks, and branding of Candid Management must not be copied, reproduced, published, modified, or used without written authorization.

No user may remove or alter any ownership, copyright, trademark, or proprietary notice displayed within the Application.

11. Security

Candid Management may use administrative, technical, and organizational safeguards intended to protect the Application and the information it processes.

However, no electronic system, internet transmission, or third-party integration can be guaranteed to be completely secure or continuously available.

Users must follow all security instructions issued by Candid Management and must immediately report any suspected compromise of their credentials or unauthorized access to the Application.

12. Availability and Modifications

Candid Management may update, modify, restrict, suspend, or discontinue any part of the Application at any time.

The Application may occasionally be unavailable because of:

  • Maintenance or updates;

  • Internet or network interruptions;

  • Third-party service outages;

  • Security concerns;

  • Technical failures; or

  • Circumstances beyond Candid Management’s reasonable control.

Candid Management does not guarantee uninterrupted or continuous access to the Application.

13. Disclaimer

The Application is provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Candid Management makes no representation or warranty that:

  • The Application will always be available;

  • The Application will operate without interruption or error;

  • Information processed by the Application will always be complete or accurate;

  • Every third-party integration will remain available; or

  • The Application will meet every user’s requirements.

The Application is an administrative workflow tool. It does not provide legal, accounting, tax, financial, or other professional advice.

Users must obtain appropriate professional advice when required.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Candid Management and its directors, officers, employees, contractors, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to:

  • Access to or use of the Application confused

  • Inability to access the Application;

  • Inaccurate or incomplete information;

  • Delayed, incorrect, or failed invoices;

  • Incorrect payment information;

  • Delayed synchronization between systems;

  • Unauthorized access;

  • Data loss;

  • Third-party service interruptions; or

  • Reliance on information generated, transferred, or synchronized by the Application.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.

15. Suspension and Termination

Candid Management may suspend or terminate a user’s access immediately if:

  • The user is no longer authorized;

  • The user breaches this Agreement;

  • The user’s access presents a security, privacy, legal, financial, or operational risk;

  • The user misuses personal or confidential information; or

  • Suspension is reasonably necessary to protect Candid Management, its clients, third-party providers, or affected individuals.

When access is terminated, the user must stop using the Application and must not attempt to regain access without authorization.

Provisions concerning intellectual property, confidentiality, disclaimers, limitation of liability, and governing law will survive termination where applicable.

16. Changes to this Agreement

Candid Management may update this Agreement to reflect changes to:

  • The Application;

  • Business operations;

  • Legal or regulatory requirements;

  • Security practices; or

  • Third-party services.

The updated Agreement will be posted on this webpage with a revised effective date.

Continued use of the Application after an updated Agreement is posted constitutes acceptance of the revised Agreement.
17. Governing Law confused

This Agreement is governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.

Subject to applicable law, disputes arising from this Agreement or use of the Application will be submitted to the courts of British Columbia.
